Introduction

A new free writing prospectus has landed on the SEC's filing system for the T. Rowe Price Active Crypto ETF. This is the latest piece of paperwork behind one of the more unusual crypto products to come out of a legacy asset manager.

What is a Free Writing Prospectus?

A free writing prospectus, or FWP, is the regulatory home for marketing material. When an issuer wants to circulate promotional content about an offering outside the formal prospectus, that content gets filed with the SEC so it sits on the public record.

Inside the Portfolio

The fund's initial holdings include Bitcoin, Ethereum, BNB, XRP, and Solana. The target portfolio will typically hold between 5 and 15 assets.

The News

The fund sticks strictly to digital assets. It does not invest in traditional securities such as stocks or bonds. Structurally, TKNZ is set up as a Delaware statutory trust. Portfolio management is led by Blue Macellari, supported by a team of four co-managers.

The Fee Math

Active management costs more, and the fee schedule reflects that. The net management fee starts at 0.75% after May 31, 2027, and is set to rise to 0.90%.

Background

T. Rowe Price manages approximately $1.9 trillion in assets. It is not the first through the door. BlackRock and Fidelity moved into digital assets earlier, and T. Rowe Price is following a path those firms helped clear.

What this Means

For investors, TKNZ offers something the first wave of crypto ETFs did not: a manager making allocation calls across multiple tokens inside a regulated wrapper. The 30% to 80% Bitcoin range is the variable to watch. Where the managers actually sit within that band will say a lot about how much conviction they have in assets beyond Bitcoin. Disclosures over time will show whether the fund behaves like a genuine multi-token strategy or drifts toward Bitcoin-heavy positioning.

Performance Against the FTSE Crypto US Listed Index

Performance against the FTSE Crypto US Listed Index is the scoreboard the firm has chosen for itself. The fee increase in 2027 gives the managers a defined window to build a track record before costs go up.
